Terms and Conditions

1. Parties and Application
These Terms and Conditions apply to professional services provided by CLEARCONS LIMITED (we, us, our) to the client organisation (you, your) unless superseded by a signed master services agreement that expressly prevails. Services may include data analytics services, computer systems design and related services, management scientific and technical consulting, custom computer programming, IT consulting, systems integration, cloud computing solutions, web and mobile application development, enterprise software solutions, business process automation, artificial intelligence solutions, cybersecurity services, API development and integration, technology strategy consulting and digital transformation services.
2. Statements of Work
Specific scope, deliverables, assumptions, timeline, fees and acceptance criteria are set out in a statement of work, proposal or order accepted in writing. In case of conflict, the statement of work prevails for scope and commercial terms, while these Terms provide the general framework.
3. Client Obligations
You will provide timely access to information, systems, personnel and decisions reasonably required. You will ensure you have rights to provide materials and data. Delays in client dependencies may extend timelines and affect fees.
4. Our Obligations
We will perform services with reasonable skill and care, assign suitable personnel, maintain confidentiality and follow agreed security practices. We may use subcontractors under equivalent confidentiality and data protection obligations, remaining responsible for their performance as required by the engagement documents.
5. Fees and Payment
Fees may be fixed, time and materials or retainers as stated. Expenses pre-approved in writing are rechargeable. Invoices are payable within the stated period. Late payment may attract statutory interest and may entitle us to suspend non-critical services after notice.
6. Change Control
Changes to scope, assumptions or dependencies require written agreement. We will estimate impact on fee and schedule before performing material additional work, except emergency measures reasonably required to protect systems or data.
7. Acceptance
Deliverables are accepted when acceptance criteria are met or when deemed accepted after the review period if no reasoned rejection is provided. Minor defects that do not prevent productive use will be addressed under warranty or support terms if agreed.
8. Intellectual Property
Each party retains IP in pre-existing materials. Upon full payment, you receive the licence or assignment rights described in the statement of work for project-specific deliverables. Tools, frameworks, know-how and templates developed by CLEARCONS LIMITED remain our property unless expressly assigned.
9. Confidentiality
Each party must protect the other's confidential information using reasonable care and use it only for the engagement. Exceptions include information that is public, independently developed, lawfully received from others or required to be disclosed by law, with notice where legally permitted.
10. Data Protection
Each party will comply with UK data protection law. Where we process personal data on your behalf, a data processing agreement will apply. Our public Privacy Policy covers website and general business processing.
11. Security and Cyber Responsibilities
We implement safeguards appropriate to the engagement. You remain responsible for your environment, access credentials you control and decisions about residual risk acceptance. Cybersecurity services do not guarantee prevention of all incidents.
12. Warranties
Except as expressly stated, services are provided without other warranties to the fullest extent permitted by law. We do not warrant that software or analytics will be error-free or uninterrupted in every operating condition.
13. Liability
Subject to non-excludable liabilities under English law, our aggregate liability under an engagement is limited to the fees paid for the services giving rise to the claim during the twelve months preceding the claim, unless a different cap is agreed in writing. We are not liable for loss of profits, revenue, goodwill, anticipated savings or indirect or consequential loss.
14. Indemnities
You will indemnify CLEARCONS LIMITED against claims arising from materials you supply or unlawful instructions you give, except to the extent caused by our negligence or wilful misconduct. We will indemnify you against third-party IP infringement claims arising from deliverables we create as original work, subject to prompt notice and control of defence, and excluding claims caused by your modifications or combination with non-approved materials.
15. Term and Termination
Engagements continue for the period stated or until completed. Either party may terminate for material breach not cured within a stated notice period, or as otherwise agreed. On termination you will pay for services performed and authorised expenses. Provisions that by nature should survive will survive.
16. Non-Solicitation
During the engagement and for six months after, neither party will solicit the other's employees who were materially involved, except through general public recruitment not targeted at those individuals, unless otherwise agreed.
17. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, including infrastructure outages, industrial action, governmental action, epidemic or natural disaster, provided mitigation efforts are made and notice is given.
18. Compliance
Both parties will comply with anti-bribery, sanctions, export control and modern slavery laws applicable to the engagement. We may decline or stop work if continued performance would breach law.
19. Publicity
We will not publicly name you as a client without permission, except where disclosure is legally required. You may reference CLEARCONS LIMITED as a supplier with accurate description of scope.
20. Dispute Resolution and Law
The parties will attempt good-faith negotiation. These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, subject to mandatory protections.
21. General
If any provision is unenforceable, remaining provisions continue. No waiver is effective unless in writing. These Terms and the statement of work form the entire agreement for the engagement subject matter. Notices may be sent to general@clearcons.onl and the addresses stated in engagement documents.
